01 / UNDERSTANDING
Plan your preparation
Study the two cash-flow diagrams before learning issue terminology. Compare a share and a bond example, and record any changing issue rules only after checking the relevant official source. Practise a share example and a bond example using identical cash-flow labels. On the next review, remove product names and classify the events from whether a claim is newly created or transferred. This checks the concept rather than recognition of familiar market vocabulary.
02 / UNDERSTANDING
The concept in context
In a primary issue, an issuer creates and places a financial claim to raise funds under the issue's terms. Secondary trading changes ownership of an existing claim. The issuer generally does not receive the purchase money from an ordinary trade between existing investors.
03 / UNDERSTANDING
A worked learning case
A company issues shares to finance equipment. Later, one investor sells those existing shares to another investor on the market. The initial subscription funds the company, whereas the later purchase price passes between investors. The company may be affected by market valuation without receiving that ordinary secondary-trade payment.
ORIGINAL EDUCATIONAL PRACTICE
Try it before you check.
Who receives the price in an ordinary secondary sale of existing shares?
Show the answer and reasoning
The selling investor.
The transaction transfers an existing ownership claim from the seller to the buyer, so the selling investor receives the consideration. It does not itself create a new issue for the company. The secondary market still matters because liquidity and price discovery can influence investors' willingness to fund future issues.
Two traps to watch for.
- Assuming every share purchase supplies new funds to the issuer.
- Treating tradability as protection against market-price losses.
YOUR TOPIC-SPECIFIC LEARNING MAP
Build your next study session
Draw the cash flow of the initial share subscription.
Draw the later investor-to-investor sale separately.
Explain how liquidity can support future primary-market funding.
Explain the idea, apply it to a new situation, then check what changed in your reasoning.
