Study plan: Beneficial ownership and control chains

Look beyond an entity’s name to understand ownership and control, draw a simple company chain and distinguish authorised signatories from the people whose interests the entity ultimately serves.

01 / UNDERSTANDING

Plan your preparation

Practise two-level ownership diagrams before complex cases. Review current regulatory definitions near assessment time, keeping numerical tests separate from the stable distinction between ownership and signing authority.

02 / UNDERSTANDING

The concept in context

A legal entity can own an account while individuals ultimately own or control that entity. Beneficial-ownership analysis looks through relevant ownership and control arrangements instead of stopping at the first company name. A person authorised to sign on an account is not automatically its ultimate beneficial owner.

03 / UNDERSTANDING

A worked learning case

Original educational case. Company M holds an account and is owned by Company N. Company N is in turn owned by two individuals. A salaried manager signs payments for M under a mandate. The manager’s authority to transact does not settle who ultimately owns or controls M. Staff need the relevant ownership and control information under the current framework.

ORIGINAL EDUCATIONAL PRACTICE

Try it before you check.

Original practice: Is an employee with account-signing authority necessarily the beneficial owner of the account-holding company?

Show the answer and reasoning

No. Authority to sign and ultimate ownership or control are different.

A signing mandate establishes the employee’s authority to operate within its scope. Beneficial ownership concerns the individuals behind ownership or control of the legal entity. Sometimes roles overlap, but the overlap must be established with relevant facts. Assuming equivalence would leave an ownership chain unexplored and confuse operational permission with economic interest.

Two traps to watch for.

  • Stopping at an intermediate company without considering the wider chain.
  • Equating a signing mandate with ultimate ownership or control.

YOUR TOPIC-SPECIFIC LEARNING MAP

Build your next study session

  1. Draw entities and individuals as different node types.

  2. Mark signing authority separately from ownership links.

  3. Flag missing control evidence for proper follow-up.

Explain the idea, apply it to a new situation, then check what changed in your reasoning.
