01 / UNDERSTANDING
Learning objectives
Cover parties, instructions, promises, acceptance and collection. Your objective is to explain the commercial sequence clearly before studying detailed instrument rules in current courseware.
02 / UNDERSTANDING
The concept in context
A cheque directs a bank to pay, while a promissory note records a promise by its maker. A bill of exchange involves an order to another party. Start by identifying who gives the instruction, who pays and who receives value.
03 / UNDERSTANDING
A worked learning case
Original educational case. A wholesaler supplies goods on credit and draws a bill on the retailer. The retailer accepts the bill, promising payment under its terms. Separately, the wholesaler issues a cheque to a transporter. Both documents concern payment, but their parties and payment mechanisms differ. Acceptance of the bill does not itself bring cash into the wholesaler’s bank account.
ORIGINAL EDUCATIONAL PRACTICE
Try it before you check.
Original practice: Who is the maker in a promissory note: the person promising payment or the person receiving it?
Show the answer and reasoning
The person promising payment.
The defining feature is the written promise made by the maker. The beneficiary is the payee, and those roles should not be reversed. A useful check is to restate the instrument in ordinary words: I promise to pay identifies the party assuming the payment obligation.
Two traps to watch for.
- Treating acceptance of a bill as actual cash collection.
- Calling the payee the maker because the payee holds the document.
YOUR TOPIC-SPECIFIC LEARNING MAP
Your revision map
Draw the parties for each of the three instruments.
Describe acceptance and payment as separate events.
Compare an order to pay with a promise to pay.
Explain the idea, apply it to a new situation, then check what changed in your reasoning.
